2. Our Services
Shepard AI provides custom AI solutions including but not limited to Retrieval-Augmented Generation (RAG) systems, AI chatbots, workflow automations, and AI consulting services. All services are delivered on a project basis with terms defined in individual service agreements. We reserve the right to modify, suspend, or discontinue any part of our services at any time.
3. User Accounts & Responsibilities
When you engage our services, you may need to provide certain information. You agree that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4. Intellectual Property
All content on this website, including text, graphics, logos, images, and software, is the property of Shepard AI or its content suppliers and is protected by copyright and other intellectual property laws. Custom AI solutions developed for clients are governed by the intellectual property terms specified in individual service agreements. Unless otherwise agreed, we retain ownership of our proprietary frameworks, tools, and methodologies.
5. Client Data & Confidentiality
Any data, documents, or information you provide to us for the purpose of delivering our services will be handled with strict confidentiality. We will not use your proprietary data to train general AI models or share it with third parties beyond what is necessary to deliver the agreed-upon services. Specific data handling terms are defined in individual service agreements and Non-Disclosure Agreements where applicable.
6. Prohibited Uses
You agree not to use our website or services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. Prohibited activities include but are not limited to: attempting to gain unauthorized access to our systems, interfering with other users' access, transmitting malware or harmful code, using our services to generate illegal or harmful content, or engaging in any activity that violates applicable laws.
7. Limitation of Liability
To the maximum extent permitted by law, Shepard AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of our services. Our total liability for any claims arising under these terms shall not exceed the amount you paid us for the specific service giving rise to the claim.
8. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. While we strive for excellence in every project, we do not warrant that our services will be uninterrupted, timely, secure, or error-free. AI systems may produce outputs that require human review and validation. We strongly recommend that all AI-generated outputs be reviewed before use in critical business decisions.
9. Indemnification
You agree to indemnify, defend, and hold harmless Shepard AI and its founder from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of our services, your violation of these terms, or your violation of any rights of another party.
10. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our services will immediately cease. All provisions of these terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Shepard AI operates, without regard to its conflict of law provisions. Any dispute arising from these terms shall be resolved through good faith negotiation, and if necessary, through binding arbitration or the courts of the applicable jurisdiction.
